1. Acceptance of Terms
By creating an account or using Taxero (the "Service"), you ("Seller," "you") agree to these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use the Service.
These Terms constitute a binding agreement between you and Taxero, LLC ("Taxero," "we," "us"). You must be at least 18 years old and authorized to act on behalf of the business entity you register.
2. Scope of Service
As of the Last Updated date above, Taxero supports sales tax filing in 35 US states, with nexus exposure tracking across all 46 US sales tax jurisdictions (45 states plus Washington, D.C.). Coverage expands continuously; the current list of supported filing states is maintained at taxero.ai/states.
Taxero is a software tool, not a tax advisor. The Service does not constitute tax advice, legal advice, or accounting services. You remain solely responsible for the accuracy of your tax filings.
2.1 AI-Assisted Services
Taxero uses AI technology to assist with nexus analysis, filing generation, and customer support. Our AI-powered support agent ("Nex") is an automated system, not a human. Managed tier filings are prepared with AI assistance and are subject to review before submission. Every Managed return reporting tax due receives human review before filing. Zero-liability returns receive human review or validated automated quality verification. Review does not constitute professional tax advice and does not guarantee acceptance by state authorities. AI assistance does not alter the disclaimers in §3 or the limitation of liability in §5.
3. Accuracy Disclaimer
Taxero uses data you provide (platform CSV exports) to calculate your tax obligations. The accuracy of our calculations depends on the accuracy and completeness of your input data. Taxero:
- Does not independently verify the transactions in your CSV exports
- Does not guarantee that a generated return will be accepted by state tax authorities
- Does not provide certainty regarding your nexus determination — nexus analysis is complex and fact-specific
- Does not advise on exemptions, deductions, or credits unless explicitly implemented in the platform
You are responsible for reviewing all generated returns before submission and for ensuring your tax obligations are correctly met. If you have questions about your specific situation, consult a qualified tax professional.
You agree to provide complete data for all states in which you have sales tax filing obligations. Omitting states, transactions, or time periods from your uploads may result in incomplete filings. Taxero is not responsible for filings based on incomplete data you provide.
4. Authorized Agent Services — Registration, Filing, and Tax Administration
4.1 Appointment as Authorized Agent
By enrolling in Taxero's Registration Service, Filing Service, or both (collectively, "Tax Administration Services"), you hereby appoint Taxero, LLC as your authorized representative and agent for the limited purposes described in this Section 4. This appointment authorizes Taxero to:
- Complete and submit sales tax registration applications to applicable state Departments of Revenue ("DOR") on your behalf;
- Execute and file sales tax returns and remittance submissions to applicable state tax authorities on your behalf, subject to §4.3;
- Access and manage your accounts on applicable state tax authority online portals, to the extent authorized by you through the portal access process described in §4.4;
- Communicate with state tax authorities regarding matters directly related to registrations and filings Taxero has submitted on your behalf;
- Grant, manage, and maintain third-party access credentials on applicable state DOR online portals, to the extent required to perform the services described above; and
- Take all actions reasonably incidental to the foregoing.
Where a state requires an executed power of attorney or state-specific authorization form for any action described in this Section 4, Taxero will present the required form to you for execution as part of the enrollment or filing process.
This appointment expressly does not authorize Taxero to: (a) represent you in tax audits, formal administrative proceedings, informal conferences, protests, or appeals; (b) make legal or strategic decisions about your business structure, entity type, or tax classification; (c) respond to state tax authority inquiries beyond the scope of registrations and filings Taxero has directly submitted; (d) provide accounting, tax planning, or legal advice; (e) act as registered agent for service of legal process; or (f) take any action not expressly authorized in this Section 4 or a separate written agreement.
Effect of Enrollment. Your enrollment in Tax Administration Services constitutes your affirmative, informed appointment of Taxero as your authorized agent. You will be presented with a summary of this Section 4 and must affirmatively accept these terms at the time of enrollment. The acceptance is logged with your name, email address, timestamp, IP address, and the exact version of the terms presented to you, and is retained as part of your authorization record.
4.2 Scope of Agency — Registration
When you initiate a state registration through the Service, you authorize Taxero to:
- Submit a new sales tax permit application to the applicable state DOR using the business and owner information you have provided through your Taxero account;
- Pay any required state registration fees on your behalf using the payment information you have provided, which fees will be charged to your payment method on file (credit card or ACH);
- Receive your state-issued sales tax permit number and registration confirmation, and store it in your Taxero account and Document Vault; and
- Complete any follow-up correspondence with the state DOR reasonably necessary to complete your permit issuance.
Registration Fee Passthrough. State registration fees are passed through to you at cost, without markup. Taxero will provide 30 days' notice of any change to this policy.
Your Accuracy Obligation. All registrations Taxero submits are based exclusively on the information you provide. You represent and warrant that all business information, owner information, and identification data you provide for registration purposes is true, accurate, current, and complete. Taxero submits this information to state authorities without independent verification. You accept full responsibility for any registration errors, penalties, permit revocations, or consequences resulting from inaccurate, incomplete, or outdated information you provide. You must notify Taxero immediately of any change to your business information that could affect the accuracy of any registration Taxero has submitted on your behalf.
4.3 Scope of Agency — Filing
When you authorize Taxero to file a sales tax return on your behalf, you authorize Taxero to:
- Prepare a sales tax return based on your transaction data and Taxero's nexus and rate calculations;
- Submit the return to the applicable state tax authority on or before the applicable due date;
- Initiate remittance of any tax due from your connected bank account or authorized payment method; and
- Receive and store filing confirmation records in your Taxero account and Document Vault.
§4.3(a) Amended and Corrected Returns. The filing authorization granted under this Section 4.3 includes your authorization for Taxero to prepare and submit amended, corrected, or superseding sales tax returns ("Amended Returns") to applicable state tax authorities on your behalf. Before submitting any Amended Return, Taxero will notify you of the proposed amendment and the basis for it. Amended Returns that would result in an increased tax liability require your explicit approval before submission; Amended Returns that would result in a decreased liability or zero net change may be submitted without separate approval unless you have disabled auto-filing.
Review Right. You retain the right to review any return before submission. Returns flagged for your review will not be submitted without your explicit approval unless you have enabled auto-filing in your account settings. When auto-filing is enabled, Taxero will submit returns automatically without further review by you; you accept full responsibility for the accuracy of the underlying transaction data. You have 3 business days from Taxero's notice to review and approve any return flagged for review; failure to respond within this window may result in a late filing.
Late Filing Liability. Taxero will use commercially reasonable efforts to file returns on time. However, Taxero is not liable for late filing penalties or interest caused by: (a) transaction data you provided late; (b) your failure to respond to a review-required return within the review window; (c) your failure to maintain an active authorized payment method; or (d) circumstances outside Taxero's reasonable control.
4.4 Alternative Authorization — State Portal Third-Party Access Grants
In certain states, Taxero may use the state Department of Revenue's own third-party access or representative-authorization system in place of, or in addition to, credential-based access under §4.14. Where Taxero adopts a state's portal-based authorization system, the following applies:
(i) How Portal Authorization Works. Where a state uses portal-based authorization, Taxero will initiate or facilitate representative access through the state's official online tax portal using your account information and credentials you provide. Depending on the state, this may involve: (a) Taxero submitting a representative access request in the state DOR's online portal, which you must approve by logging into your state portal account; (b) Taxero creating a third-party access logon using your state account information, where the portal itself manages and limits the scope of access; or (c) you granting Taxero access as a secondary user, authorized user, or third-party designee through your state portal account settings.
(ii) Your Authorization Grant. By enrolling in Tax Administration Services for any state where Taxero adopts portal-based authorization, you hereby: (a) authorize Taxero to initiate, request, and accept portal access grants on your behalf through the applicable state DOR's online portal system; (b) grant Taxero representative access through the applicable state DOR portal to the same scope as described in §4.1, §4.2, and §4.3; (c) agree that your in-app enrollment confirmation constitutes your informed authorization of Taxero as your representative in that state; and (d) agree to take any required action in the applicable state DOR portal within 5 business days of Taxero's notification.
(iii) Active State Portal Account Required. In states where portal-based authorization applies, you must have an active, verified account with the state DOR's online portal before Taxero can initiate or accept a portal access request.
(iv) Enrollment Notification. Taxero will notify you at enrollment if a state you enroll in uses portal-based authorization requiring action on your part.
4.4A No Custody of Funds
Taxero does not take custody of, receive, hold, transfer, or transmit funds on behalf of Sellers. Taxero enters payment information provided by the Seller directly into the applicable state tax portal. All funds flow directly between the Seller's designated account and the state tax authority. Taxero never receives, holds, or controls Seller funds.
Remittance Authorization. By providing your bank account or payment information and completing the remittance authorization at onboarding, you authorize Taxero to enter your payment details into the applicable state tax portal and initiate payment of tax due, and any state-imposed fees, directly from your account to the state.
4.5 Mail and Correspondence Management — Separate Authorization Required
If you elect to enable Taxero's Mail Management Service, by separately and affirmatively accepting the standalone authorization at enrollment, you authorize Taxero, LLC to:
- Register Taxero's designated contact information (including mailing address, email address, and telephone number) as the authorized contact on state tax accounts created or managed by Taxero on your behalf;
- Receive, open, and digitally process tax-related correspondence — including permits, assessment notices, deficiency notices, rate change notifications, and account confirmations — from state and local tax authorities sent to Taxero's designated contact information;
- Receive one-time passcodes, multi-factor authentication codes, and account verification messages sent by state tax portals to Taxero's designated contact information during registration initiation and ongoing account maintenance;
- Scan, digitize, and store copies of all received correspondence in your Taxero Document Vault; and
- Notify you by email and in-app notification within 2 business days of receipt of any correspondence requiring your attention or response.
Standalone Consent. Mail Management authorization requires a separate, standalone checkbox acceptance at enrollment — it is not bundled with your general Terms of Service acceptance. The specific authorization language is presented at enrollment.
Taxero's Obligations. Taxero will upload all received correspondence to your Document Vault within 2 business days of receipt, flag any notices indicating a filing error, assessment, or audit inquiry, and maintain correspondence records for a minimum of 7 years. Taxero will not destroy, alter, withhold, or delay delivery of any state tax correspondence received on your behalf.
Revocation. You may revoke the Mail Management authorization at any time by providing written notice to legal@taxero.ai. Revocation takes effect 30 days after Taxero's receipt of written notice to allow Taxero to update state accounts and redirect correspondence.
Receipt of one-time passcodes and verification messages under this section supports Taxero's portal access under §4.4 and §4.14.
4.6 Data Accuracy — Your Responsibility
The accuracy of all Tax Administration Services depends entirely on the accuracy and completeness of the information you provide to Taxero, including but not limited to:
- Business legal name, EIN, entity type, and principal business address;
- Owner and officer names, identification numbers (including Social Security Numbers and driver's license numbers collected for state registration purposes), ownership percentages, and personal addresses;
- Transaction data, platform sales history, and marketplace facilitator allocation;
- State account numbers and previously issued permit numbers;
- Bank account and payment information; and
- Any change to the foregoing that occurs after your initial enrollment.
You accept full responsibility for the accuracy of all information you provide. You must update your Taxero account promptly — and no later than 10 days after the change — upon any change to your business name, structure, address, ownership, or other information relevant to your tax registrations or filings. Taxero shall not be liable for registration errors, filing errors, penalties, interest, permit revocations, or other consequences arising from inaccurate, incomplete, or outdated information in your account.
4.7 Termination of Agency
Your appointment of Taxero as authorized agent continues until:
- (a) You cancel your Taxero account;
- (b) You cancel your Tax Administration Services subscription;
- (c) You revoke Taxero's authorization in writing to legal@taxero.ai; or
- (d) These Terms are terminated pursuant to Section 9 (Termination).
Effect of Termination. Termination of your agency appointment does not retroactively affect any registrations or filings already submitted on your behalf.
Pending Matters. If termination occurs while a registration or filing is in progress, Taxero will complete that specific pending action and then cease further actions. Taxero will notify state DORs of termination of representative status within 10 business days of the effective termination date.
Data Access After Termination. You will retain access to your Taxero Document Vault for 90 days after account closure to retrieve your filed returns and correspondence records.
4.8 No Professional License — Disclaimer
Taxero is a software platform, not a CPA firm, tax attorney, licensed tax preparer, or licensed accounting firm. Taxero is not registered as a tax preparer under any state's tax preparer registration statute, including but not limited to California Business and Professions Code §§ 22250 et seq. or similar statutes in other states.
Taxero's Tax Administration Services constitute software-assisted form completion and submission — not the practice of accounting, the practice of law, tax advice, or tax preparation as defined in any applicable professional licensing statute.
If your situation requires professional tax advice, estate planning, audit representation, tax controversy assistance, or any other professional tax or legal service, you must consult a qualified CPA, licensed tax attorney, enrolled agent, or other licensed professional. Nothing in Taxero's services or these Terms constitutes a professional-client relationship, an attorney-client relationship, or an accountant-client privilege.
4.9 Limitation of Liability for Tax Administration Services
Notwithstanding any other provision of these Terms:
- (a) Cap on Damages. Taxero's total liability to you arising out of or relating to Tax Administration Services shall not exceed the total fees paid by you to Taxero in the 12 months preceding the event giving rise to the claim, in the aggregate.
- (b) Exclusion of Consequential Damages. To the maximum extent permitted by applicable law, Taxero shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from Tax Administration Services, including but not limited to state-imposed penalties, interest, back taxes, lost business opportunity, or reputational harm, regardless of whether Taxero was advised of the possibility of such damages.
- (c) Exceptions. Nothing in this Section limits Taxero's liability for: (i) gross negligence or willful misconduct; (ii) fraud or fraudulent misrepresentation; or (iii) liability that cannot be limited by applicable law.
- (d) Seller Responsibility. The limitations in this §4.9 reflect that the fundamental accuracy of Tax Administration Services depends on the accuracy of the information you provide.
4.10 Governing Law — Tax Administration Services
The authorization and agency relationship established by this Section 4 shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflicts-of-law principles.
Dispute Resolution. Any dispute arising out of or relating to this Section 4 shall be resolved in accordance with the dispute resolution provisions of Section 11 (Governing Law and Dispute Resolution) of these Terms.
4.11 Partner Dashboard — Authorized Access by Referring Partners
If you are enrolled through a Taxero authorized partner (an accounting firm, bookkeeper, e-commerce consultant, or other business holding a Taxero Partner account), the following additional terms apply to your Partner's access to your Taxero account.
- (a) Full Read Access. Your Partner has full read access to your Taxero account — including all account information, registration status, filing history, Document Vault contents, and account activity.
- (b) Scoped Write Access. Your Partner may take write actions within your Taxero account on your behalf, including initiating registrations and submitting forms. All write actions are subject to the mandatory confirmation requirement in §4.11(c).
- (c) Confirmation Requirement. Before your Partner can complete any write action on your account, the Taxero platform will present an explicit in-app confirmation prompt: "You are acting on behalf of [Your Business Name]. Confirm this action." Your Partner must affirmatively confirm this prompt for each individual write action. This cannot be disabled or bypassed.
- (d) Audit Trail. Every action taken by a Partner is logged in an immutable audit trail recording: the identity of the Partner, the action taken, the timestamp (UTC), and the client account. You may request a full copy at any time by contacting legal@taxero.ai.
- (e) Persistent Banner. During any Partner access session, a persistent banner reading "Viewing [Your Business Name]'s account" is displayed throughout the Partner's session interface at all times and cannot be dismissed.
- (f) Prohibited Partner Actions. Partners may not: modify your account credentials; modify your billing information or payment methods; revoke or modify your authorizations; or enroll your account in new services you have not separately authorized.
- (g) Your Consent. By enrolling through a Partner, you consent to your Partner having the access described in this §4.11. You may revoke Partner access at any time through your account settings.
- (h) Taxero's Limited Liability. To the maximum extent permitted by applicable law, Taxero is not liable for any write action taken by your Partner that was completed through the in-app confirmation prompt described in §4.11(c).
4.12 Taxpayer Representations and Warranties
By enrolling in Tax Administration Services, you represent and warrant to Taxero, on an ongoing basis, that:
- (a) You are legally authorized to operate the business for which you are enrolling;
- (b) You have the legal authority to appoint Taxero as your authorized agent for the purposes contemplated by this Section 4;
- (c) All information you provide — including business information, owner information, identification numbers, and transaction data — is and will remain true, accurate, current, and complete;
- (d) You will promptly notify Taxero of any change to your business name, structure, ownership, address, or any other information that could affect the accuracy of any registration or filing;
- (e) You are not knowingly providing false information to any state tax authority through your use of Taxero's services; and
- (f) Your use of Taxero's services does not and will not violate any applicable law, regulation, or contractual obligation.
4.13 Amendment of These Terms
Taxero reserves the right to update, modify, or amend these Terms of Service — including this Section 4 (Authorized Agent Services) and all other service-specific terms — at any time. Modifications become effective upon posting to Taxero's website or platform, as reflected by the updated "Last Updated" date in the document header. Your continued use of the Taxero platform following any modification constitutes your acceptance of the updated Terms. You are responsible for reviewing these Terms periodically to stay informed of any modifications.
Taxero reserves the right to terminate or suspend access to our services for cause, including but not limited to violation of these Terms, at any time without prior notice. This right of immediate termination or suspension applies to for-cause situations — such as breach of these Terms, fraudulent use, or non-payment — and is separate from Taxero's right to make general modifications to these Terms, which is subject to the notice commitments in Section 12 below.
For material changes to these Terms generally, see also Section 12 (Changes to These Terms), which provides additional notice commitments.
4.14 State Portal Credential Authorization — Primary Authorization Mechanism
Taxero's primary mechanism for accessing state tax authority systems on your behalf is secure, authorized use of your state tax portal credentials. By affirmatively accepting the separate Credential Authorization checkbox at enrollment, you explicitly authorize Taxero to:
(a) Authorization to Store and Use Credentials.
- (i) securely store your state tax portal username and password ("Portal Credentials") for the states in which you enroll;
- (ii) access state DOR online portals using your Portal Credentials to act on your behalf for the limited purposes of completing sales tax registrations, preparing and filing sales tax returns, and performing related tax compliance activities as described in §4.1–§4.3; and
- (iii) retain your Portal Credentials in Taxero's secure credential storage system for as long as you remain enrolled.
(b) Encryption and Security. Taxero stores all Portal Credentials encrypted at rest using industry-standard encryption. Taxero implements reasonable technical and organizational measures to protect your Portal Credentials from unauthorized access.
(c) Exclusive Use. Your Portal Credentials are used exclusively for the tax registration, filing, and compliance purposes described in this Section 4. Taxero will not share your Portal Credentials with any third party.
(d) Your Obligation to Keep Credentials Current. You are responsible for keeping your Portal Credentials accurate and up to date in your Taxero account settings. Taxero is not liable for any registration errors, filing failures, missed deadlines, penalties, or other consequences resulting from expired, changed, or invalid Portal Credentials that you have not updated in your Taxero account.
(e) Revocation. You may revoke Taxero's credential access at any time by removing or changing your Portal Credentials through your Taxero account settings or by changing your state portal password directly through the applicable state DOR portal.
(f) Separate Authorization Required. The credential storage and usage authorization under this §4.14 requires your separate, affirmative acceptance of the Credential Authorization at enrollment, distinct from your acceptance of the general Terms and §4.1.
5. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Exclusion of indirect damages: Taxero is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including loss of profits, loss of data, or business interruption.
- Liability cap: Taxero's total liability for any claim arising from the Service is limited to the greater of (a) the fees you paid to Taxero in the 12 months preceding the claim, or (b) $100.
- Tax penalties expressly excluded: Taxero is not liable for any tax penalties, interest, back taxes, or fines assessed by any tax authority, regardless of whether such amounts arose from information processed through the Service.
Claims arising out of or relating to Tax Administration Services are governed exclusively by the limitations in §4.9; this Section 5 governs all other claims.
Some jurisdictions do not allow exclusion of certain warranties or limitations of liability. In such jurisdictions, our liability is limited to the minimum extent permitted by law.
6. Subscription Terms and Pricing
Tax administration services are described in §4 (Authorized Agent Services).
6.1 Pricing
Taxero offers the following service tiers and per-filing fees:
- Free Tier: Nexus monitoring across all 46 US sales tax jurisdictions — $0. No credit card required.
- Self-Serve Filing: $19.99 per filed return — you review and submit
- Forgotten Filer Filing: $19.99 per filed return — for catching up on past periods
- Managed Filing: $16.99 per filed return — Taxero files on your behalf
- Zero Return Filing: $19.99 per zero return — for periods with no taxable sales
- Taxero Managed Subscription: $49.99/month — full-service managed compliance, unlimited nexus calculations
Multiple Entities: A Taxero Managed Subscription covers all business entities under common ownership that you enroll under your account at no additional subscription cost. Each enrolled entity requires its own authorization under Section 4, and each entity's filings incur the applicable per-filing fees and state-imposed fees.
State registration fees: Passed through at cost per §4.2. State registration fees are separate from Taxero service fees.
6.2 Billing and Payment
Subscription fees are billed monthly in advance. Filing fees are charged per submitted return at the time of filing. All fees are charged in US dollars. A valid payment method is required for all paid plans and is collected when you subscribe to a paid plan or initiate your first paid action; no payment method is required for the Free Tier. Taxero never takes custody of funds remitted to state tax authorities. See §4 for the remittance mechanism.
6.3 Cancellation
You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period — you retain access through the period you've paid for. No refunds are issued for partial billing periods.
6.4 Price Changes
We will provide 30 days' notice before changing subscription prices. Your continued use of the Service after the effective date constitutes acceptance of the new price.
7. Your Responsibilities
- Provide accurate and complete information (platform CSV exports, EIN, business details)
- Maintain the confidentiality of your account credentials
- Notify us immediately if you believe your account has been compromised
- Comply with all applicable tax laws — Taxero is a tool, not a compliance guarantee
- Not use the Service for any unlawful purpose
7A. Indemnification
You agree to indemnify, defend, and hold harmless Taxero and its officers, directors, employees, and agents from any claims, liabilities, damages, or expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any applicable law or third-party right
- Inaccurate data you provided to the Service
- Any tax filing submitted on your behalf based on data you provided
- Your failure to provide complete and accurate transaction data
- Any third-party claims arising from tax filings generated from data you provided
This indemnification obligation does not apply to the extent a claim arises from Taxero's gross negligence, willful misconduct, or fraud.
8. Intellectual Property
The Service, including all software, algorithms, and content, is owned by Taxero, LLC and protected by copyright, patent, and trade secret law. You receive a limited, non-exclusive, non-transferable license to use the Service for your own business purposes.
You retain ownership of the data you upload (your CSV files and transaction records). You grant Taxero a license to process this data solely for the purpose of providing the Service to you.
9. Termination
Either party may terminate this agreement at any time. Taxero may suspend or terminate your account if you violate these Terms, fail to pay subscription fees, or if we reasonably believe your use of the Service is fraudulent or harmful.
Filed returns, transaction records, and tax-related documents are retained for 7 years from the date of filing or upload, as required by tax record-keeping law. During this 7-year period, you retain the right to request a complete data export at any time by emailing privacy@taxero.ai. After the retention period, records are permanently deleted unless law requires longer retention.
10. Force Majeure
Taxero is not liable for any delay or failure to perform resulting from causes beyond its reasonable control, including but not limited to state Department of Revenue portal outages, state system failures or maintenance windows, changes to state filing systems or requirements, internet or infrastructure failures, acts of government, natural disasters, or labor disruptions. Where a state system outage prevents timely filing, Taxero will use commercially reasonable efforts to file as soon as the system is restored and to document the outage for penalty-abatement purposes; however, penalty abatement is determined solely by the state.
11. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.
Arbitration: Any dispute arising from these Terms or your use of the Service will be resolved by binding arbitration under JAMS rules, except for claims eligible for small claims court. Arbitration will be conducted in Texas or by videoconference.
Class action waiver: You waive the right to bring or participate in any class action lawsuit against Taxero.
12. Changes to These Terms
